Terms and Conditions

Brandfelt Activation is dedicated to providing professional services that elevate businesses through strategic activations, marketing, and creative solutions. These terms govern all engagements between Brandfelt Activation and its Clients.

 

Project Scope & Deliverables  
A project officially begins when a signed contract has been received and a non-refundable deposit of 25% has been paid.  

Once initiated, the Agency will request necessary materials such as branding assets, copy, images, and login credentials. The Client must provide all requested information within 14 business days to avoid delays or compromised outcomes.  

Failure to provide timely responses or materials may impact the project quality and timeline. The Agency is not responsible for incomplete results due to missing, delayed, or insufficient materials or communication from the Client.  

If required items are not received within 30 calendar days, the Agency reserves the right to pause or mark the project as complete at its discretion. In such cases, the final invoice will become due, and no refunds will be issued.  

All approvals must be provided within 72 hours of submission. If the Client fails to approve without prior communication, the Agency may proceed with the project using the current status. Any modifications must be submitted via email, with Agency confirmation before updates are made.  

Once a project concludes and all deliverables are submitted, no additional changes or modifications will be accepted.  

 

Conduct Policy  

Agency Responsibilities  
- The Agency will provide high-quality services that align with the agreed project scope.  
- Communication will remain professional, timely, and clear.  
- The Agency will protect all Client-provided confidential information.  

Client Responsibilities  
- The Client must communicate respectfully and professionally with Agency representatives.  
- The Client must provide timely feedback and approvals within designated timeframes.  
- Required materials must be submitted as outlined to prevent disruptions.  
- The Client may not engage in abusive, hostile, or unethical behavior toward Agency staff.  

 

Failure to Perform  
The Agency is committed to delivering all promised services. If the Agency fails to perform due to internal factors, the Client may request contract termination and a refund, provided that:  
- The Client has fulfilled their obligations, including timely submission of materials and approvals.  
- The missed deliverables are not a result of Client delays or lack of communication.  
- The Agency has not offered reasonable alternatives or adjustments to resolve the issue.  

 

Payment & Refund Policy  

Deposit Requirement  
- A non-refundable deposit of 25% is required before work begins.  

Final Payments & Late Fees  
- Invoices not paid within 14 days of the due date will incur a late fee of 2% of the remaining balance, applied monthly.  
- The grace period begins the day after the due date, during which late fees will not accrue.  
- Late fees are automatically applied to overdue invoices unless otherwise agreed in writing.  

Refunds & Cancellations  
- All deposits are non-refundable. The deposit secures the Client’s project time slot and represents the Agency’s resource commitment.  
- If the Client cancels after work has begun, any refund request will be reviewed at the Agency’s discretion, but refunds are not guaranteed.  
- If the Client fails to respond or submit required materials within 30 calendar days, the project may be marked complete, and no refunds will be issued. The final invoice will also become due.  
- Dissatisfaction with creative direction or subjective preferences does not qualify for a refund. Clients are encouraged to provide feedback early in the editing process.  
- Clients may request contract termination and a refund only if the Agency fails to deliver agreed-upon services, provided the Client has met all expectations for timely responses and approvals.  
- If a refund is approved, the Agency will confirm the return payment method with the Client.  

 

Disputes & Third-Party Chargebacks  
Brandfelt strongly encourages Clients to discuss any concerns directly with the Agency to reach a fair resolution.  

- If a Client initiates a third-party dispute (e.g., through a bank or credit card company), they may forfeit eligibility for an internal refund.  
- Once a third-party dispute is opened, resolution is subject to the bank or merchant’s final decision, which may result in additional fees and delays.  
- Third-party dispute resolutions can take 30–90 days, depending on financial institution policies.  

To prevent unnecessary delays and fees, the Agency recommends direct communication before filing a chargeback.  

 

Intellectual Property Rights  
All branding, creative assets, and strategies developed by the Agency remain its exclusive intellectual property unless otherwise agreed in writing. Clients receive a limited-use license for project purposes.  

 

Privacy & Data Usage  
Brandfelt is committed to protecting Client data. This Privacy Policy outlines how personal information is collected, stored, and secured:  

- Data Collection: We collect only essential information for service execution, including contact details and branding assets.  
- Usage & Storage: Client data is stored securely and used strictly for project execution.  
- Third-Party Access: Client data is never shared or sold without explicit consent.  
- Security Measures: The Agency applies industry-standard protocols to prevent unauthorized access to collected data.  
- Opt-Out & Modifications: Clients can request data updates or removal by contacting the Agency.

Consultations  
All consultations provided by the Agency are final and non-refundable.  

 

Governing Law & Dispute Resolution  
This agreement is governed by the laws of [state/country]. Any disputes will first be addressed through mediation or arbitration before legal action is pursued.  

 

Acceptance of Terms  
By engaging with Brandfelt, the Client agrees to these terms and conditions in their entirety.
